Terms of Service Agreement
This Terms of Service Agreement ("Agreement") governs the use of Teamix ("Marketplace Platform"), a service connecting Clients with Advisors for advisory sessions and project-based engagements in fields like AI, Robotics, and Web3. By accessing or using the Platform, you agree to be bound by the terms of this Agreement. If you do not agree, you may not use the Platform.
1. Definitions
1.1 User: Any individual or entity registered on the Teamix platform, including both Clients (those seeking advisory services or project-based work) and Advisors (those providing professional advice or services).
1.2 Client: Any individual or entity using the Platform to list projects, request advisory sessions, or manage engagements.
1.3 Advisor: Industry experts available for advisory services or project-based work, booked via the Platform.
1.4 Project: A job or assignment listed by a Client on the Platform, seeking advisory or technical services.
1.5 Service Fee: The fee retained by Teamix for facilitating transactions between Clients and Advisors.
1.6 Non-Circumvention Policy: A requirement that prohibits Users from engaging in direct transactions or payments outside the Platform with any Client or Advisor introduced through the Platform.
1.7 Confidential Information: Any non-public information disclosed between users, subject to confidentiality obligations.
2. Platform Services
The Teamix Platform operates as a marketplace where Clients can connect with Advisors to engage in advisory services or project-based work. Teamix offers the following functionalities:
Clients may post projects or request advisory sessions for Advisors to apply to.
Advisors set their own fees, which are non-negotiable.
Clients book and pay for advisory sessions or project-based work through the Platform using integrated payment systems.
3. Relationship with Teamix
3.1 Limited Role: Teamix solely facilitates connections between Clients and Advisors. Teamix is not a party to any contract between Clients and Advisors.
3.2 No Involvement in Performance: Teamix does not supervise or control the work of Advisors, nor does it guarantee the outcomes of any engagement.
3.3 Optional Dispute Resolution: Teamix reserves the right, but is not obligated, to assist in resolving disputes between Clients and Advisors.
3.4 Account Inactivity: Teamix reserves the right to deactivate accounts that have been inactive for 12 months or more. Users will be notified of this inactivity before any deactivation.
4. User Responsibilities
4.1 Client Responsibilities:
Clients must provide complete and accurate descriptions of their projects, including timelines, deliverables, and expectations, to ensure Advisors understand the scope.
Clients are solely responsible for all decisions related to hiring Advisors and for any actions taken based on the advice or services provided.
Non-Payment Consequences: Failure to make timely payments may result in suspension or termination of the project and/or account.
4.2 Advisor Responsibilities:
Advisors must deliver services according to the project terms agreed upon with the Client and adhere to professional standards.
Advisors are required to conduct advisory sessions with integrity and professionalism, ensuring their advice complies with applicable laws and does not include illegal or unethical practices.
Advisors may not offer services outside the agreed-upon scope or attempt to upsell services outside the Platform.
4.3 Prohibited Use:
Users may not share contact details or encourage Clients to engage in direct communication outside of the Platform to bypass Teamix’s processes.
Attempting to circumvent payments on the Platform will result in immediate account termination and possible legal action, including penalties for breach of the non-circumvention policy.
5. Account Registration and Security
5.1 Registration: Users must provide accurate and complete information during account registration and maintain the accuracy of this information.
5.2 Account Security: Users are responsible for keeping their account credentials confidential. Teamix is not liable for unauthorized account access.
5.3 Verification: Teamix reserves the right to verify user information through third-party services or official documents.
6. Payments and Fees
6.1 Service Fees and Payment Schedule:
Payments for advisory sessions are processed automatically at the time of booking.
For project-based engagements, payment schedules will follow the milestones agreed upon between Clients and Advisors. Teamix disburses payments only after confirmation of project milestones or services rendered.
6.2 Refund and Dispute Policy:
Advisory Sessions: Clients may cancel advisory sessions and receive a full refund if canceled at least 24 hours before the session. Refunds may also be issued if the session is canceled by the Advisor or if the Advisor does not show up. Clients must raise any disputes within 24 hours of the session, subject to Teamix's investigation and discretion.
Projects: Clients and Advisors may agree on a refund policy for project work. Teamix will investigate disputes but is not obligated to resolve or enforce agreements unless there is a breach of Platform rules.
6.3 Non-Circumvention Penalty:
If any Client or Advisor attempts to engage in direct transactions outside the Platform with a user they connected with on Teamix, Teamix reserves the right to terminate their account and pursue legal action. Users may also be required to pay damages equivalent to Teamix’s estimated lost service fees for the entire engagement period, with a minimum penalty of $20,000 or three times the estimated project or advisory session fee, whichever is higher.
7. Confidentiality Obligations
7.1 Confidentiality Between Users:
Both Clients and Advisors agree to treat any information shared during the course of engagements as confidential, including trade secrets, business plans, financial data, or personal information shared by either party.
Users agree not to disclose, share, or use confidential information obtained through Teamix for any purpose other than the intended service.
7.2 Project Confidentiality:
All information exchanged for ongoing project-based work is considered confidential and should not be shared outside of the Teamix platform. Advisors are responsible for safeguarding sensitive project data.
7.3 Recording Consent:
Advisory sessions may be recorded for quality assurance or dispute resolution purposes. By participating in an advisory session, both Clients and Advisors consent to the recording of the session by Teamix.
7.4 Teamix’s Role in Confidentiality:
Teamix strongly encourages the use of Non-Disclosure Agreements (NDAs) before the start of any project or advisory session to protect sensitive information. NDAs will be made available within the Platform upon request.
Teamix is not liable for any breaches of confidentiality between Clients and Advisors. However, we may suspend or terminate accounts found violating confidentiality agreements.
8. Termination and Suspension of Accounts
8.1 Termination for Cause:
Teamix reserves the right to terminate or suspend a user’s account without notice if the user violates the terms of this Agreement, engages in fraudulent activity, or attempts to circumvent the Platform’s payment system.
8.2 Effect of Termination:
Upon termination, all ongoing projects or advisory sessions will be canceled, and any outstanding payments may be withheld or refunded based on the circumstances.
Users terminated for cause will remain liable for all service fees due, and Teamix reserves the right to pursue legal remedies for any damages or breaches of contract.
8.3 Reactivation Policy:
Users may request reactivation of a suspended account by providing a written explanation and corrective action plan. Approval is at Teamix’s sole discretion.
9. Indemnification
You agree to defend, indemnify, and hold harmless Teamix, its officers, employees, and affiliates from any claims, losses, or damages, including legal fees, arising from:
Your use of the Platform or services offered therein.
Your breach of this Agreement, including payment obligations or attempts to bypass the Platform’s payment system.
Disputes between you and other users of the Platform, including Clients or Advisors.
Your violation of any applicable laws or the misuse of confidential information.
10. Limitation of Liability
Direct Liability: Teamix’s total liability for any claim arising out of this Agreement or the use of the Platform will not exceed the total service fees collected from the user in the 12 months preceding the incident.
Exclusions: Teamix is not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption. This limitation applies even if Teamix has been advised of the possibility of such damages.
11. Dispute Resolution and Governing Law
11.1 Dispute Resolution Process:
Users agree to attempt good-faith negotiations to resolve disputes. If resolution is not reached, Teamix may, at its sole discretion, offer mediation services but is not obligated to intervene.
11.2 Binding Arbitration:
If disputes cannot be resolved through negotiation or mediation, parties agree to submit disputes to binding arbitration in New York, NY, governed by the rules of the American Arbitration Association (AAA).
11.3 Governing Law:
This Agreement will be governed and interpreted according to the laws of the State of New York, without regard to conflict of law principles.
Users waive any objections to personal jurisdiction or venue in the state or federal courts located in New York, NY.
12. Amendments and Modifications
Teamix reserves the right to amend this Agreement at any time. Users will be notified of changes, and continued use of the Platform constitutes acceptance of the revised terms.
13. Non-Circumvention
Users acknowledge that the value of Teamix lies in its marketplace services. Engaging in transactions with Clients or Advisors introduced through the Platform, without using the Platform’s payment system, constitutes a material breach of this Agreement.
If Teamix discovers any such transactions, it reserves the right to terminate the violator’s account and pursue legal remedies. Violators will be required to pay damages, including any estimated lost service fees for the full engagement period, plus a minimum penalty of $20,000 or three times the estimated project or session fee, whichever is higher.
